Terms of Service

In these Terms of Service, the following capitalized terms have the meanings set forth below:

• "Services" refers to the TakeSmart mobile application, web portal, APIs, and associated dark-store delivery logistics.
• "User", "You", or "Your" means any customer or individual accessing or using the Services.
• "TakeSmart", "We", "Us", or "Our" refers to TakeSmart Technologies Pvt. Ltd..
• "Order" means a confirmed purchase of groceries, essentials, or consumer products placed via the Services.
• "Dark Store" means our localized fulfillment centers responsible for rapid picking, packing, and dispatch.

To register an account and place orders with TakeSmart, you must:

• Be at least 18 years of age or access under the direct supervision of a legal guardian
• Reside or request delivery within our active hyperlocal delivery service polygons
• Provide a valid Indian mobile number capable of receiving SMS OTP authentication
• Maintain the confidentiality of your session tokens and notify us immediately of any unauthorized access

We reserve the right to suspend or terminate accounts that provide misleading information or violate platform guidelines.

Every order placed through TakeSmart is subject to live dark-store inventory availability and formal order acceptance:

• Items added to the cart are reserved dynamically during checkout; orders are confirmed once payment or Cash-on-Delivery is validated
• We reserve the right to cancel orders due to stock exhaustion, pricing discrepancies, or unserviceable weather/traffic constraints
• Our lightning-fast delivery time (e.g. 9–15 minutes) represents an optimized target; severe weather, local curfews, or force majeure events may occasionally cause delays
• Title and risk of loss for ordered products transfer to you upon handoff at your designated delivery location

All catalog prices are listed in Indian Rupees (INR) and are inclusive of GST unless explicitly stated otherwise:

• Prices and promotions may be adjusted in real-time based on supplier costs and seasonal availability
• Nominal delivery charges, surge fees during rain/peak hours, or small handling fees may be displayed transparently on checkout
• We support UPI (Google Pay, PhonePe, Paytm), debit/credit cards, net banking, Cash on Delivery (COD), and Smart Money wallet
• In case of transaction failures where money is deducted, the amount is automatically refunded by your issuing bank within 5–7 business days

We are committed to delivering 100% fresh, quality goods. If an issue occurs:

• Damaged or Incorrect Items: Must be reported with photographic proof via the in-app support chat within 24 hours of delivery
• Missing Items: Must be reported within 2 hours of delivery confirmation
• Perishable Goods: Fresh fruits, vegetables, dairy, and meat are non-returnable once accepted, unless delivered damaged or spoiled
• Refund Credit: Approved refunds are credited either instantly to your TakeSmart Wallet ("Smart Money") or back to the source account within 5–7 banking days

TakeSmart provides a closed virtual balance ("Smart Money") for 1-click checkouts and promotional cashbacks:

• Wallet balances are non-transferable to other users and cannot be withdrawn as cash to bank accounts
• Promotional referral credits or festival cashback may have specific expiry windows and maximum usage caps per order
• Wallet funds do not accrue interest and are exclusively redeemable for merchandise within the TakeSmart ecosystem

While using our platform, you agree not to:

• Use automated scripts, bots, or scrapers to crawl product catalogs or prices
• Place fraudulent or mock orders to manipulate store stocks or rider dispatches
• Verbally abuse, threaten, or harm our delivery riders or dark-store staff
• Commercial bulk purchasing for unauthorized resale without an enterprise vendor agreement
• Reverse-engineer or attempt to compromise our APIs, mobile binaries, or network infrastructure

All trademarks, logos, UI designs, software code, branding assets, and database compilations associated with TakeSMARTs are the exclusive intellectual property of TakeSmart Technologies Pvt. Ltd.. Unauthorized reproduction or redistribution is strictly prohibited under the Copyright Act, 1957.

To the maximum extent permitted by Indian law, TakeSmart Technologies Pvt. Ltd. and its directors, employees, or logistics contractors shall not be liable for any indirect, incidental, or consequential damages resulting from the use or inability to use the Services. Our total cumulative liability for any verified claim shall not exceed the value of the specific order giving rise to such claim.

These Terms are governed by and construed in accordance with the laws of the Republic of India. Any disputes or claims arising hereunder shall be subject to the exclusive jurisdiction of the competent courts in Kanpur, Uttar Pradesh, India.

We reserve the right to amend these Terms at any time. Continued usage of our website or mobile application following such updates will constitute your acknowledgment and agreement to the modified terms.
